1. Overview of External Investment
Jinlv Environment Technology Co., Ltd. (hereinafter referred to as "the Company") has signed a partnership agreement with Tibet Tianji Jishi Venture Capital Co., Ltd. (hereinafter referred to as "Tibet Tianji"), Xuancheng City Xuanzhou District Industrial Investment Holding Group Co., Ltd. (hereinafter referred to as "Xuancheng Investment"), and Xuancheng City Xuanzhou District State-owned Capital Operation Group Co., Ltd. (hereinafter referred to as "Xuancheng State-owned Assets") to jointly invest in the establishment of Xuancheng City Xuanzhou District Jinlv Jishi Equity Investment Fund Partnership (Limited Partnership) (hereinafter referred to as "Investment Fund" or "Partnership"). The total subscribed capital of the Investment Fund is 200 million RMB, with the Company contributing 80 million RMB as a limited partner, accounting for 40% of the total subscribed capital of the Partnership. According to the relevant regulations of the "Shenzhen Stock Exchange Stock Listing Rules," "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 7 - Transactions and Related Transactions," and the "Company Articles of Association," this investment does not require board or shareholder approval, does not constitute a related party transaction, and does not constitute a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies."
