On August 5, 2026, the Company convened the 19th meeting of the Second Board of Directors, which reviewed and approved the "Proposal on Authorizing the Company's Management to Carry Out Preparatory Work for the Industrialization Project of Indium Phosphide Semiconductor Materials." The Board agreed to authorize the Company's management to carry out preparatory work for the industrialization project of indium phosphide semiconductor materials. As the production and R&D of indium phosphide semiconductor materials fall within a high-barrier technical field with complex process routes and extremely high technical requirements, the overall project plan is divided into two phases: "Preliminary R&D Experiment" and "Subsequent Industrialization Promotion." The first phase (process validation and small-batch production line feasibility validation) involves significant uncertainties such as R&D failure, deviation in technical routes, or experimental conclusions falling short of expectations. If the preliminary R&D progress or related technical indicators and commercialization fall short of expectations, the project is at risk of termination or adjustment. Meanwhile, given the lengthy administrative approval processes for environmental impact assessment, safety assessment, and occupational health assessment, the Company, based on forward-looking considerations, has initiated relevant preparatory work on a scale commensurate with the overall project to ensure the timeliness of subsequent project promotion. This absolutely does not represent the Company's final investment commitment or decision for the second phase of the industrialization project. Whether the Company will proceed with the second phase of industrialization investment, when it will commence, and the specific investment amount will be entirely dependent on the final experimental conclusions from the first phase R&D laboratory and will require further review and approval by the Board of Directors and shareholders' meeting (if necessary), thus carrying significant uncertainty.
