(hereinafter referred to as "Shimon", "Issuer" or "Company") has received approval from the Listing Committee of the Shenzhen Stock Exchange (hereinafter referred to as "SZSE") for its application for the initial public offering of shares (hereinafter referred to as "this Offering") and listing on the Main Board, and has obtained registration approval from the China Securities Regulatory Commission (hereinafter referred to as "CSRC") (CSRC Permit [2025] No. 2753).
China International Capital Corporation Limited (hereinafter referred to as "CICC", "Sponsor", "Lead Underwriter" or "Sponsor (Lead Underwriter)") acts as the sponsor (lead underwriter) for this Offering.
The number of shares to be issued in this Offering is 23,072,500 shares, accounting for 25.00% of the total share capital after the issuance. All shares are newly issued public shares, and the Issuer's shareholders will not conduct a public sale of shares. The shares from this Offering are intended to be listed on the Main Board of the SZSE.
The offering price of 28.00 yuan/share corresponds to a diluted static price-to-earnings ratio of 15.29 times based on the lower of the net profit attributable to the parent company for 2024 before and after deducting non-recurring gains and losses. This is higher than the average static price-to-earnings ratio of 14.64 times for the same industry published by China Securities Index Co., Ltd. for the most recent month, but lower than the average static price-to-earnings ratio of 24.94 times for comparable listed companies in the same industry after deducting non-recurring gains and losses. There is a risk that the Issuer's stock price may decline in the future, resulting in losses for investors.
