I. Overview of Performance Commitment Compensation
On March 16, 2026, the Company held the second meeting of the fifth board of directors, which reviewed and approved the proposal regarding the "Completion of Performance Commitment by the Company's Controlling Subsidiary." The audited net profits before and after deducting non-recurring gains and losses for Guangzhou Taiyang Energy Technology Co., Ltd. for the years 2023, 2024, and 2025 were 6.8054 million yuan, 3.4118 million yuan, and 7.1411 million yuan, respectively, with a cumulative net profit total of 17.3583 million yuan over three years, which did not meet the performance commitment. After negotiation between the Company and the commitment party, a solution regarding the relevant performance compensation matters has been reached, and a "Performance Compensation Agreement" has been signed, with a compensation amount of 2.4417 million yuan.
