Announcement on the Election of Employee Representative Directors
The company and all members of the board of directors guarantee that the content of the information disclosure is true, accurate, and complete, without any false records, misleading statements, or significant omissions.
According to the "Company Law of the People's Republic of China" the "Shenzhen Stock Exchange Listing Rules" and other laws and regulations , normative documents, and the "Articles of Association" relevant provisions , Jinfang Energy Group Co., Ltd. (hereinafter referred to as "the Company" ) held an employee representative assembly on January 22, 2026 , which reviewed and voted , agreeing to elect Mr. Xu Zhenjiang (resume see attachment) as the employee representative director of the fifth board of directors, together with the directors elected at the second extraordinary general meeting of shareholders in 2026, forming the fifth board of directors of the company , with a term from the date of approval by this employee representative assembly until the expiration of the term of the fifth board of directors. Mr. Xu Zhenjiang meets the qualifications and conditions for directors as stipulated in the "Company Law of the People's Republic of China" the "Shenzhen Stock Exchange Listing Rules" and other laws and regulations, normative documents, and the "Articles of Association" relevant provisions regarding director qualifications and conditions. After the election of the employee representative director is completed , the number of directors concurrently serving as senior management personnel in the company's board of directors and the number of directors held by employee representatives does not exceed half of the total number of directors of the company, in compliance with relevant laws and regulations and the provisions of the "Articles of Association." Mr. Xu Zhenjiang, born in January 1965, Chinese nationality, without permanent residence rights abroad, holds a bachelor's degree.
From July 1989 to February 1992, he served as a technician at Beijing Flat Glass Industry Company; from February 1992 to December 2001, he worked as a technical developer at Beijing Meiyi Technology Development Company; from January 2002 to November 2012, he was the manager of the self-control department at Jinfang Co., Ltd.; from December 2012 to June 2016, he served as a supervisor and deputy chief engineer of the self-control department of the company; from July 2016 to June 2017, he was a director and deputy chief engineer of the self-control department of the company; from June 2017 to present, he has been a director and deputy chief engineer of the general engineering office of the company.
Mr. Xu Zhenjiang does not directly or indirectly hold shares of the company, and there are no related relationships with the actual controller of the company, other shareholders holding more than 5% of the company's shares, directors, and senior management personnel; there are no circumstances that disqualify him from serving as a director or senior management personnel as stipulated in the "Company Law," the "Self-Regulatory Guidelines No. 1 for Main Board Listed Companies" of the Shenzhen Stock Exchange, and the "Articles of Association"; he has not been subject to penalties by the China Securities Regulatory Commission and other relevant departments or disciplinary actions by the stock exchange; he has not been investigated by judicial authorities for suspected crimes or by the China Securities Regulatory Commission for suspected violations of laws and regulations, with no clear conclusions; he has not been publicly listed by the China Securities Regulatory Commission on the platform for inquiries into illegal and untrustworthy information in the securities and futures market or included in the list of untrustworthy persons subject to enforcement by the people's court.
