Chapter 1 General Principles
Article 1 To strengthen the internal reporting of major information at Shandong Lianke Technology Co., Ltd. (hereinafter referred to as the "Company"), ensure the lawful, timely collection, truthful, accurate, and complete disclosure of major information, and in accordance with the "Stock Listing Rules of the Shenzhen Stock Exchange," the "Articles of Association of Shandong Lianke Technology Co., Ltd.," the "Information Disclosure Management System of Shandong Lianke Technology Co., Ltd.," and other relevant laws and regulations, this Internal Reporting System for Major Information is hereby formulated.
Article 2 The Company's Internal Reporting System for Major Information refers to the requirement that when an event occurs, arises, or is about to arise that may have a significant impact on the trading price of the Company's stock and its derivative products, the unit, department, or individual with reporting obligations shall immediately report to the Board Secretary and, in accordance with the Company's internal management requirements, report to the relevant responsible person.
Article 3 This system applies to the Company, its branches, subsidiaries, and affiliated companies. The "person with reporting obligations" or "reporter" referred to in this system includes:
(I) Directors and senior management personnel of the Company;
(II) Heads of departments, subsidiaries, and branches of the Company;
(III) Directors, supervisors, and senior management personnel of subsidiaries and affiliated companies dispatched by the Company;
(IV) Controlling shareholders and actual controllers of the Company;
(V) Other shareholders holding more than 5% of the Company's shares and related parties of the Company (including related legal persons and related natural persons);
(VI) Other personnel who may have access to major information.
Article 4 Information reporting liaisons are responsible for the collection, organization, and liaison work of major information with the Board Secretary and the Securities Affairs Representative. Upon discovering major information, they shall report it promptly and shall not delay reporting due to internal approval or signature processes.
Article 5 The primary responsible person for internal information reporting within the Company shall formulate corresponding internal information communication mechanisms based on the actual situation of their respective units or departments to ensure timely understanding and grasp of relevant information.
Article 6 Reporters shall provide major information promptly, truthfully, accurately, and completely, and shall not conceal, omit, mislead, or provide false information.
Article 7 Directors, senior management personnel, and individuals who learn of information that should be disclosed by the Company due to their work relationship shall have an obligation of confidentiality before such information is publicly disclosed.
Article 8 The Board Secretary shall, based on the Company's actual situation, conduct regular or irregular training for personnel with reporting obligations regarding major information on company governance and information disclosure to ensure the timeliness and accuracy of the Company's internal major information.
