Zhongtai Securities Co., Ltd. Verification Opinion on the Removal of Restrictions on the Circulation of Shares Issued by Shandong LianKe Technology Co., Ltd. through a Simplified Procedure to Specific Objects
Zhongtai Securities Co., Ltd. (hereinafter referred to as "Zhongtai Securities" or "the Sponsor") is the sponsor for Shandong LianKe Technology Co., Ltd. (hereinafter referred to as "LianKe Technology" or "the Company") regarding the issuance of shares through a simplified procedure to specific objects for the year 2025 and its listing on the main board of the Shenzhen Stock Exchange, as well as ongoing supervision. In accordance with the "Administrative Measures for the Sponsorship of Securities Issuance and Listing," "Listing Rules of the Shenzhen Stock Exchange," and "Self-Regulatory Guidelines No. 1 for Listed Companies on the Shenzhen Stock Exchange—Standard Operations for Main Board Listed Companies," we have conducted a prudent verification of the matter concerning the removal of restrictions on the shares issued by LianKe Technology for the year 2025. The verification situation and opinions are as follows:
I. Overview of the Shares with Removed Restrictions and Changes in Capital Stock According to the approval from the China Securities Regulatory Commission regarding the registration of shares issued by Shandong LianKe Technology Co., Ltd. to specific objects (Zheng Jian Xu Ke [2025] No. 1801), the final issuance involved 16 parties, with an issuance price of 21.17 yuan/share and a total of 14,170,996 shares issued. The new shares were listed on the Shenzhen Stock Exchange on September 16, 2025. After this issuance, the total share capital of the Company increased from 202,355,964 shares to 216,526,960 shares. As of the date of this verification opinion, the total share capital of the Company is 216,526,960 shares, of which the restricted circulation shares/non-circulation shares amount to 19,237,176 shares, accounting for 8.88% of the total share capital; the unrestricted circulation shares amount to 197,289,784 shares, accounting for 91.12% of the total share capital.
