I. Overview of Guarantees
Jushen Logistics Group Co., Ltd. (hereinafter referred to as "the Company" or "this Company") held the fifth meeting of the fourth board of directors on December 12, 2025, and the fourth extraordinary general meeting of shareholders on December 30, 2025, to review and approve the "Proposal on the Estimated Guarantee Amount of the Company"; on March 16, 2026, and April 2, 2026, the sixth meeting of the fourth board of directors and the first extraordinary general meeting of shareholders in 2026 were held, respectively, to review and approve the "Proposal on Adjusting the Estimated Guarantee Amount of the Company," with a total estimated guarantee amount not exceeding 16 billion yuan. As of now, the Company's guarantees are all provided for subsidiaries within the scope of consolidated financial statements due to daily operational needs, including financing guarantees for subordinate companies, guarantees for business operations of subordinate companies, and guarantees for subordinate companies applying for delivery warehouse qualifications; among these, the largest proportion is the guarantees provided by the Company for the daily operational activities of subsidiaries regarding the comprehensive warehousing of bulk commodities such as alumina and tin (i.e., applying for delivery warehouse qualifications). The comprehensive warehousing of bulk commodities is one of the components of the Company's business, which requires the Company to issue guarantee letters according to the requirements of the futures exchange and its approved storage capacity.
