Chapter One General Principles
Article 1 In order to adapt to the requirements of modern enterprise systems, clarify the responsibilities and authorities of the General Manager of Jushen Logistics Group Co., Ltd. (hereinafter referred to as "the Company") and other members of the management team, and ensure the efficient and standardized exercise of their powers, this regulation is formulated in accordance with the relevant provisions of the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Securities Law of the People's Republic of China (hereinafter referred to as "the Securities Law"), and the Articles of Association of Jushen Logistics Group Co., Ltd. (hereinafter referred to as "the Articles of Association").
Article 2 The personnel scope applicable to this regulation includes members of the General Manager's management team, namely the General Manager, Deputy General Managers, financial officers, and other senior management personnel as stipulated in the Articles of Association.
Chapter Two General Provisions
Article 3 The Company shall have one General Manager and one financial officer, and may appoint several Deputy General Managers as needed. The General Manager shall be nominated by the Chairman and appointed or dismissed by the Board of Directors. Other members of the General Manager's management team, such as Deputy General Managers and financial officers, shall be nominated by the General Manager and appointed or dismissed by the Board of Directors.
Article 4 Directors of the Company may concurrently serve as General Manager or other senior management personnel, but the total number of directors concurrently serving as General Manager or other senior management positions shall not exceed one-half of the total number of directors of the Company.
Article 5 Individuals who fall under the circumstances specified in the Company Law that prohibit them from serving as senior management personnel of the Company, as well as those declared as market entry prohibitors by securities regulatory authorities and still within the prohibition period, shall not serve as the Company's General Manager, Deputy General Manager, or other members of the management team.
Article 6 The General Manager, Deputy General Managers, and financial officers must be full-time and shall not hold any positions other than director in the controlling shareholders, actual controllers, and other enterprises they control, nor shall they receive salaries from the controlling shareholders, actual controllers, and other enterprises they control.
Article 7 The term of office for the General Manager and other members of the General Manager's management team is three years, and they may be reappointed consecutively.
Article 8 Individuals with any of the following circumstances shall not serve as the Company's General Manager or other senior management personnel:
(1) Lack of civil capacity or limited civil capacity;
(2) Convicted of crimes such as embezzlement, bribery, misappropriation of property, or disrupting the socialist market economy, with a sentence that has not expired for more than five years, or deprived of political rights due to crime, with a sentence that has not expired for more than five years, or declared on probation, with the probation period not expired for more than two years;
(3) Serving as a director or factory manager, general manager of a company or enterprise undergoing bankruptcy liquidation, and personally responsible for the bankruptcy of that company or enterprise, within three years from the completion of the bankruptcy liquidation;
(4) Serving as the legal representative of a company or enterprise whose business license has been revoked or ordered to close due to illegal activities, and personally responsible, within three years from the revocation of the business license or order to close;
(5) Personally listed as a dishonest person subject to enforcement by the people's court due to large amounts of unpaid debts;
(6) Subject to administrative penalties by the China Securities Regulatory Commission in the last three years;
(7) Publicly reprimanded by the securities exchange or criticized more than three times in the last three years;
(8) Subject to a market entry prohibition penalty by the China Securities Regulatory Commission, with the period not yet expired;
(9) Unable to ensure sufficient time and energy to devote to company affairs during their term of office and to effectively perform their responsibilities;
(10) Other circumstances as stipulated by laws, administrative regulations, or departmental rules.
If the Company violates the preceding provisions in appointing the General Manager and other senior management personnel, such appointment shall be invalid. If the General Manager or other senior management personnel encounter any of the above circumstances during their term of office, the Company shall terminate their position.
Article 9 After the Board of Directors decides to appoint the General Manager and other senior management personnel, it shall sign employment contracts with the General Manager and other senior management personnel respectively. The General Manager and other senior management personnel may submit a written resignation to the Board of Directors before the expiration of their term, and the specific procedures and methods for resignation shall be stipulated in the employment contract between the General Manager and other senior management personnel and the Company.
Article 10 The General Manager and other senior management personnel shall comply with laws, administrative regulations, and the Articles of Association, fulfill their duties of loyalty and diligence, and safeguard the interests of the Company.
Article 11 If the General Manager and other senior management personnel violate laws, administrative regulations, or the provisions of the Articles of Association while performing their duties, resulting in losses to the Company, they shall bear compensation liability.
