Announcement on the Progress of Signing the "Letter of Intent"

I. Overview of the Matter
In order to expand the transshipment business in countries such as Guinea and Indonesia, and to improve the company's business layout and medium- to long-term development plan, Guangdong Jushen Logistics Co., Ltd. (hereinafter referred to as "the Company") intends to establish one or more wholly-owned subsidiaries in Hong Kong through Hainan Jushen Information Technology Co., Ltd. These subsidiaries or their subordinate companies will serve as the implementation entities to carry out overseas transshipment projects, with a planned investment amount not exceeding RMB 250 million, primarily for the purchase of barges, floating cranes, and supporting equipment.
Previously, the Company's subsidiary Hong Kong Jushen Logistics Co., Ltd. (hereinafter referred to as "Hong Kong Jushen") signed a "Letter of Intent" with Yangzhou Hairun Shipbuilding Co., Ltd. (hereinafter referred to as "Yangzhou Hairun") regarding the construction of floating cranes. For specific details, please refer to the relevant announcements disclosed by the Company on November 29, 2024, and January 22, 2025, in the "China Securities Journal," "Securities Times," "Securities Daily," and the Giant Tide Information Network (http://www.cninfo.com.cn).
II. Progress Situation
Given that Hong Kong Jushen's subordinate companies, Hong Kong Shenrui Shipping Co., Ltd. (hereinafter referred to as "Hong Kong Shenrui") and Hong Kong Shenhao Shipping Co., Ltd. (hereinafter referred to as "Hong Kong Shenhao"), have been established, recently, through mutual agreement, Hong Kong Shenrui, Hong Kong Jushen, and Yangzhou Hairun, as well as Hong Kong Shenhao, Hong Kong Jushen, and Yangzhou Hairun, respectively signed "Supplementary Agreements." The supplementary agreements mainly stipulate that the original "Letter of Intent," which stated that Yangzhou Hairun would build 2 floating cranes for Hong Kong Jushen, has been changed to Yangzhou Hairun building 1 floating crane (including crane) for each of Hong Kong Shenrui and Hong Kong Shenhao, with corresponding changes to the agreement parties, amounts, etc.; at the same time, Hong Kong Shenrui and Hong Kong Shenhao have respectively signed "Shipbuilding Contracts" with Yangzhou Hairun based on the amended content, with specific details as follows:
