Notice of the 2023 First Extraordinary General Meeting of Shareholders
According to the relevant provisions of the Company Law and the Articles of Association of Guangdong Jushen Logistics Co., Ltd. (hereinafter referred to as "the Company"), it was approved at the seventh meeting of the third Board of Directors held on December 19, 2022, to convene the first extraordinary general meeting of shareholders in 2023 on January 4, 2023 (Wednesday). The relevant matters of the meeting are notified as follows:
I. Basic Information of the Meeting
- Session of the Shareholders' Meeting: 2023 First Extraordinary General Meeting
- Meeting Convener: Board of Directors of the Company
- Legality and Compliance of the Meeting: The convening of this shareholders' meeting complies with the provisions of the Company Law and other laws, regulations, normative documents, and the Articles of Association.
- Meeting Time:
(1) On-site meeting time: January 4, 2023 (Wednesday) at 15:00;
(2) Online voting time: January 4, 2023, including:- Through the Shenzhen Stock Exchange trading system: January 4, 2023, from 9:15 to 9:25, 9:30 to 11:30, and 13:00 to 15:00;
- Through the Shenzhen Stock Exchange internet voting system: any time from 9:15 to 15:00 on January 4, 2023.
- Method of Holding the Meeting: This shareholders' meeting will adopt a combination of on-site voting and online voting.
(1) On-site voting: Shareholders may attend the on-site shareholders' meeting in person or by written proxy.
(2) Online voting: The shareholders' meeting will provide an online voting platform through the Shenzhen Stock Exchange system and internet voting system. Shareholders should exercise their voting rights within the specified online voting time mentioned in this notice. Shareholders can only choose one of the voting methods mentioned above, and in case of duplicate voting for the same voting right, the first valid vote will prevail.
