Chapter 1 General Principles

Article 1

To meet the requirements of modern enterprise systems and clarify the responsibilities and authorities of the General Manager and other members of the management team of Guangdong Jushen Logistics Co., Ltd. (hereinafter referred to as "the Company"), and to ensure the efficient and standardized exercise of their powers, these rules are formulated in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Securities Law of the People's Republic of China (hereinafter referred to as "the Securities Law"), and the Articles of Association of Guangdong Jushen Logistics Co., Ltd. These rules apply to the members of the General Manager's management team, namely the General Manager, Deputy General Managers, financial officers, and other senior management personnel as stipulated in the Articles of Association.

Chapter 2 General Provisions

Article 3

The Company shall have one General Manager and one financial officer, and may appoint several Deputy General Managers as needed. The General Manager shall be nominated by the Chairman and appointed or dismissed by the Board of Directors. The Deputy General Managers, financial officers, and other members of the General Manager's management team shall be nominated by the General Manager and appointed or dismissed by the Board of Directors.

Article 4

Directors of the Company may be employed concurrently as General Manager or other senior management personnel, but the total number of directors concurrently serving as General Manager or other senior management positions shall not exceed half of the total number of directors. Supervisors may not concurrently serve as General Manager or other senior management personnel. Spouses and direct relatives of directors and senior management personnel of the listed company may not serve as supervisors during their tenure.

Article 5

Individuals who fall under the circumstances specified in the Company Law that prohibit them from serving as senior management personnel, as well as those declared by securities regulatory authorities as market entry bans and still within the ban period, shall not serve as the Company's General Manager, Deputy General Managers, or other members of the management team.

Article 6

The General Manager, Deputy General Managers, and financial officers must be full-time and may not hold other positions, except for directors or supervisors, in the controlling shareholders, actual controllers, or other enterprises controlled by them, nor receive salaries from them.

Article 7

The General Manager and other members of the General Manager's management team shall serve a term of three years and may be reappointed.

Article 8

Individuals with any of the following circumstances shall not serve as the Company's General Manager or other senior management personnel:

  1. Lack of civil capacity or limited civil capacity;
  2. Convicted of embezzlement, bribery, misappropriation of property, or disrupting the socialist market economy, with a sentence served within the last five years, or deprived of political rights due to a crime, with the sentence served within the last five years;
  3. Serving as a director or manager of a company or enterprise undergoing bankruptcy liquidation and personally responsible for the bankruptcy, within three years from the completion of the bankruptcy liquidation;
  4. Serving as the legal representative of a company or enterprise whose business license has been revoked due to illegal activities and personally responsible, within three years from the revocation;
  5. Personal debts of a significant amount that are overdue and unpaid;
  6. Administrative penalties imposed by the China Securities Regulatory Commission within the last three years;
  7. Public reprimands or three or more criticisms from the securities exchange within the last three years;
  8. Subject to a market entry ban by the China Securities Regulatory Commission, with the ban period not yet expired;
  9. Unable to ensure sufficient time and energy for company affairs during their tenure and effectively perform their duties;
  10. Other circumstances as stipulated by laws, administrative regulations, or departmental rules.
