Hunan Qiyuan Law Firm (hereinafter referred to as "the Firm") was entrusted by Jiuzhitang Co., Ltd. (hereinafter referred to as "the Company") to appoint lawyers from the Firm to attend the Company's 2025 Annual Shareholders' Meeting (hereinafter referred to as "the Meeting"). The lawyers conducted a legal review of the convocation and procedures of the Meeting, the qualifications of the attendees and the convener, and the legality and validity of the voting procedures and results, and issued this legal opinion.
This legal opinion is issued in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as "Securities Law"), and other relevant laws, regulations, and normative documents of the People's Republic of China, as well as the "Articles of Association of Jiuzhitang Co., Ltd." (hereinafter referred to as "Articles of Association") and other relevant regulations.
The Firm and its lawyers hereby declare: (I) The lawyers of the Firm have strictly performed their statutory duties, adhered to the principles of diligence and good faith, conducted thorough investigations and verifications, and ensured that the facts determined in this legal opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false records, misleading statements, or significant omissions, and shall bear corresponding legal responsibilities, based on facts that have occurred or existed prior to the issuance of this legal opinion. (II) The lawyers of the Firm issue this legal opinion based on the Company's commitment that all original documents provided to the lawyers of the Firm, as well as copies verified by the lawyers of the Firm to be consistent with the originals, are true, complete, and reliable, without any concealment, falsification, or significant omissions. (III) The Firm has not authorized any entity or individual to provide any interpretation or explanation of this legal opinion.
