On March 25, 2026, Jiuzhitang Co., Ltd. (hereinafter referred to as the "Company") held the fifth meeting of the Ninth Board of Directors' Nomination, Remuneration and Assessment Committee and the thirteenth meeting of the Ninth Board of Directors. The meeting reviewed the "Proposal on the 2026 Director Remuneration Plan." As all directors abstained from voting on this proposal, it will be directly submitted to the Company's 2025 Annual General Meeting of Shareholders for deliberation. The specific plan is as follows:
To ensure that the directors of Jiuzhitang Co., Ltd. (hereinafter referred to as the "Company" or "Jiuzhitang") effectively perform their respective duties and obligations, establish a sound incentive and restraint mechanism that aligns responsibilities, rights, and interests, and reasonably determine the company's director performance evaluation standards, remuneration levels, and payment methods, this 2026 Director Remuneration Plan is formulated in accordance with the "Company Law of the People's Republic of China," the "Guidelines for Corporate Governance of Listed Companies," and other relevant laws, regulations, and the "Articles of Association."
