Article 1 Purpose To further standardize the meeting procedures and decision-making processes of the Board of Directors of Jiuzhitang Co., Ltd. (hereinafter referred to as "the Company"), to promote the effective performance of duties by directors and the board, and to enhance the standardized operation and scientific decision-making level of the board, these Rules are formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), and other relevant laws and regulations, as well as the Company's Articles of Association.
Article 2 Board of Directors Office The Board of Directors shall establish a Board of Directors Office, with the following main responsibilities: (I) Handling the daily affairs of the Board of Directors. (II) Handling the daily affairs of the Strategy Committee, Nomination and Remuneration Committee, and Audit Committee. (III) Preparing for the convening of Shareholders' Meetings and Board Meetings. (IV) Information disclosure. (V) Securities affairs and investor relations management. (VI) Coordinating relations with the China Securities Regulatory Commission, Shenzhen Stock Exchange, Hunan Securities Regulatory Bureau of the CSRC, and intermediary institutions.
