Beijing JiaYuan Law Offices (hereinafter referred to as "the Firm") has been entrusted by Huagong Technology Co., Ltd. (hereinafter referred to as "the Company") to provide legal services. In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Rules of the General Meeting of Shareholders" (hereinafter referred to as the "Shareholders' Meeting Rules"), and other currently effective laws, administrative regulations, departmental rules, and normative documents (hereinafter referred to as "Laws and Regulations"), as well as the "Articles of Association of Huagong Technology Co., Ltd." (hereinafter referred to as the "Articles of Association"), the Firm has appointed lawyers to witness the Company's 2025 Annual General Meeting (hereinafter referred to as the "Meeting") and to issue this Legal Opinion in accordance with the law.
To issue this Legal Opinion, the Firm's appointed lawyers attended the Meeting in person, reviewed the documents and materials provided by the Company related to the Meeting, and conducted necessary examinations and verifications. During the course of these examinations and verifications, the Firm received the following commitments and assurances from the Company: With respect to matters that the Firm deems necessary for review in order to issue this Legal Opinion, the Company has provided all relevant original written materials, duplicate materials, or oral testimony, and such materials are true, accurate, complete, and valid, and any copies are consistent with the originals, and duplicates are consistent with the originals.
