Chapter One General Principles
Article 1 In order to further improve the governance structure of Hua Gong Technology Industry Co., Ltd. (hereinafter referred to as "the Company"), standardize the behavior of independent directors, fully leverage the role of independent directors in the governance of listed companies, and promote the enhancement of the quality of listed companies, this system is formulated in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Guidelines for Corporate Governance of Listed Companies, the Administrative Measures for Independent Directors of Listed Companies (hereinafter referred to as "the Independent Director Management Measures"), the Stock Listing Rules of the Shenzhen Stock Exchange (hereinafter referred to as "the Shenzhen Listing Rules"), the Securities Listing Rules of The Stock Exchange of Hong Kong Limited (hereinafter referred to as "the Hong Kong Listing Rules"), the Articles of Association of Hua Gong Technology Industry Co., Ltd. (hereinafter referred to as "the Articles of Association"), and other relevant laws, regulations, and normative documents.
Article 2 The term "independent director" in this system refers to directors who do not hold any position other than director in the Company and have no direct or indirect interests with the Company, its major shareholders, or actual controllers that may affect their independent and objective judgment. The meaning of "independent director" in this system is consistent with that of "independent non-executive director" in the Hong Kong Listing Rules, and independent directors must also meet the independence requirements set forth in the Hong Kong Listing Rules. Independent directors shall independently perform their duties and shall not be influenced by the Company, its major shareholders, actual controllers, or other entities or individuals.
