Beijing Jia Yuan Law Offices (hereinafter referred to as "the Firm") has been engaged by Huagong Technology Industry Co., Ltd. (hereinafter referred to as "the Company") to witness the 2026 First Extraordinary General Meeting of the Company (hereinafter referred to as "the Meeting") in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as "Company Law"), the "Rules of Shareholders' Meetings of Listed Companies" (hereinafter referred to as "Shareholders' Meeting Rules"), and other currently effective laws, administrative regulations, departmental rules, and normative documents (hereinafter referred to as "Laws and Regulations"), as well as the "Articles of Association of Huagong Technology Industry Co., Ltd." (hereinafter referred to as "Articles of Association"). This legal opinion is hereby issued.
To prepare this legal opinion, the Firm's lawyers attended the Meeting on-site to witness it, reviewed the documents and materials provided by the Company related to the Meeting, and conducted necessary examinations and verifications. During the aforementioned examination and verification process, the Firm's lawyers received the following commitments and assurances from the Company: For all matters that the Firm's lawyers deem necessary for the preparation of this legal opinion, the Company has provided all relevant original written materials, duplicate materials, or oral statements, and such materials are true, accurate, complete, and valid, with copies being consistent with originals and duplicates being consistent with originals.
