Huagong Technology Industrial Co., Ltd. Management System for Confidentiality and Archives Related to Overseas Issuance and Listing of Securities (January 2026)
Article 1 For the purpose of safeguarding national economic security, protecting public interest, and maintaining the legitimate rights and interests of Huagong Technology Industrial Co., Ltd. (hereinafter referred to as the "Company"), and to ensure the security of information within China during the process of overseas issuance and listing of securities, and to regulate the management of confidentiality and archives during the process of overseas issuance and listing of securities, the Company, in accordance with the "Securities Law of the People's Republic of China," the "Law of the People's Republic of China on Guarding State Secrets" (hereinafter referred to as the "Confidentiality Law"), the "Archives Law of the People's Republic of China," the "Accounting Law of the People's Republic of China," the "National Security Law of the People's Republic of China," the "Implementing Regulations of the Law of the People's Republic of China on Guarding State Secrets," the "Interim Measures for the Management of Overseas Issuance and Listing of Securities by Domestic Enterprises," the "Regulations on Strengthening the Management of Confidentiality and Archives Related to Overseas Issuance and Listing of Securities by Domestic Enterprises," and the "Articles of Association of Huagong Technology Industrial Co., Ltd." (hereinafter referred to as the "Articles of Association"), has formulated this System.
Article 2 For the purposes of this System, "overseas issuance and listing of securities" refers to the direct or indirect issuance of securities by the Company in countries or regions outside the People's Republic of China (hereinafter referred to as "China"), or the listing and trading of its securities overseas. This System applies to the entire process of the Company's overseas issuance and listing of securities, including the application, review, and listing stages.
