I. Transaction Overview
Guangzhou Yuexiu Capital Holding Group Co., Ltd. (hereinafter referred to as the "Company") passed the resolution of the 33rd meeting of the 10th Board of Directors by communication method on January 16, 2026, and reviewed and approved the "Proposal on Increasing Holdings in Beijing Holdings." To further optimize the asset allocation structure and enhance long-term asset value, the Board of Directors agreed that the Company would use its own funds not exceeding RMB 1 billion (including transaction costs) to purchase Hong Kong shares of Beijing Holdings Limited (hereinafter referred to as "Beijing Holdings") (stock name "Beijing Holdings", stock code: 0392.HK) through Stock Connect in the secondary market.
