In 2025, as an independent director of Guangzhou Yuexiu Capital Holding Group Co., Ltd. (hereinafter referred to as the "Company"), I strictly adhered to the requirements of laws and regulations such as the "Company Law," "Securities Law," "Corporate Governance Guidelines for Listed Companies," and the "Administrative Measures for Independent Directors of Listed Companies," as well as the Company's "Articles of Association" and "Work System for Independent Directors." I fully leveraged my professional expertise, honestly, diligently, and independently performed my duties, promoted scientific decision-making by the board of directors, facilitated the Company's compliant governance, and lawfully protected the legitimate rights and interests of the Company and all shareholders.

Jiang Hai, a member of the Communist Party of China, holds a doctorate degree. He is currently the Vice Dean of the School of Economics at Jinan University, a professor of finance, and a doctoral supervisor. He is a renowned teacher in Guangdong Province and a member of the Ministry of Education's Undergraduate Finance Teaching Steering Committee, the National Master's Degree in Finance Teaching Steering Committee, and the Vice Chairman of the National Game Theory and Experimental Economics Society. He also serves as the Vice Chairman of the Undergraduate Finance Teaching Steering Committee of Guangdong Province and the Vice Chairman of the Academic Committee of the Guangdong Provincial Finance Society. He also serves as an independent director for Guangzhou Yuexiu Capital Holding Group Co., Ltd., Guangdong Maoming Rural Commercial Bank Co., Ltd., and Guangdong Huidong Rural Commercial Bank Co., Ltd.
