I. Overview of Related Party Transaction

Shanxi Coal Energy Group Co., Ltd. (hereinafter referred to as the "Company" or "Entrusting Party") intends to sign a "Entrusted Agency Agreement" with Shanxi Coal Energy Group Finance Co., Ltd. (hereinafter referred to as the "Finance Company" or "Entrusted Party"); the Company intends to sign a "Entrusted Loan Contract" with the Finance Company and the Company's wholly-owned subsidiary Wuxi Xishan Power Generation Co., Ltd. (hereinafter referred to as "Wuxi Xishan Power Generation" or "Borrower"). To ensure the normal production and operation of Wuxi Xishan Power Generation, the Company intends to provide an entrusted loan of RMB 40,000,000,000 to Wuxi Xishan Power Generation through the Finance Company, with a term of 3 years and an interest rate of 3.0%. A handling fee of 0.01% (RMB 40,000) will be collected by the Finance Company in a lump sum.

The Finance Company is a subsidiary controlled by the Company's controlling shareholder, Shanxi Coal Energy Group Co., Ltd. (hereinafter referred to as "Coal Energy Group"). Its registered capital is RMB 3.55 billion, with Coal Energy Group holding 80% and the Company holding 20%. In accordance with the "Stock Listing Rules of Shenzhen Stock Exchange", the Company and the Finance Company are related parties under the control of the same legal person, Coal Energy Group. Therefore, this transaction constitutes a related party transaction.
