I. Overview of Related Party Transaction
- Shanxi Coal Energy Group Co., Ltd. (hereinafter referred to as the "Company" or "Entrusting Party") intends to sign a "Entrusted Agency Agreement" with Shanxi Coal Mining Group Finance Co., Ltd. (hereinafter referred to as the "Financial Company" or "Entrusted Party"); the Company intends to sign an "Entrusted Loan Contract" with the Financial Company and the Company's holding subsidiary, Shanxi Xishan Huatong Cement Co., Ltd. (hereinafter referred to as "Xishan Huatong" or "Borrower").
Xishan Huatong was jointly established by the Company and Huatongluqiao Bridge Engineering Co., Ltd. (hereinafter referred to as "Huatongluqiao Bridge"). Its registered capital is RMB 368.51 million, of which the Company invested RMB 357.45 million, accounting for 97% of the total investment, and Huatongluqiao Bridge invested RMB 11.06 million, accounting for 3% of the total investment.
To ensure the normal production and operation of Xishan Huatong, the Company intends to provide an entrusted loan of RMB 350 million to Xishan Huatong through the Financial Company. The loan term is 3 years, with an interest rate of 3.0%. A handling fee of 0.01% (RMB 3.5 million) will be collected by the Financial Company once.
