Ningxia Zhongyin Rongye Co., Ltd. (hereinafter referred to as "the Company") held the fourth meeting of the ninth board of directors on May 5, 2024, where it reviewed and approved the proposal for the share buyback through centralized bidding. On May 8, 2024, the Company disclosed the buyback report, deciding to use its own funds to repurchase shares through the Shenzhen Stock Exchange trading system via centralized bidding. The total amount for the buyback will not be less than RMB 30 million (inclusive) and not exceed RMB 40 million (inclusive), with the specific total amount based on actual funds used. The buyback price will not exceed RMB 1.92 per share (inclusive), and the buyback period will be within three months from the date of the board's approval of this buyback plan. The repurchased shares are intended to maintain the Company's value and protect shareholder rights. The shares repurchased will be sold at an appropriate time according to relevant rules 12 months after the announcement of the buyback results and share changes, and all will be sold within three years. The Company will fulfill relevant review procedures and information disclosure obligations according to regulations. If the Company fails to implement the aforementioned purposes within 36 months after the completion of the share buyback, the unsold repurchased shares will be canceled after following relevant procedures.
