(hereinafter referred to as "China Merchants Highway") will absorb and merge Huabei Expressway through a share exchange (hereinafter referred to as "this share exchange merger"). This merger was approved at the Company's second extraordinary general meeting of shareholders held on June 30, 2017, and received approval from the China Securities Regulatory Commission (CSRC) in the document "Approval of the Absorption Merger of Huabei Expressway Co., Ltd. by China Merchants Highway Network Technology Holdings Co., Ltd."
