Compensation Plan for Directors and Senior Management
The compensation plan for directors and senior management of Yantai Changyu Pioneer Wine Co., Ltd. (hereinafter referred to as "the Company") is established to standardize the payment and management of compensation for the Company's directors and senior management, in accordance with the "Compensation Management System for Directors and Senior Management of Yantai Changyu Pioneer Wine Co., Ltd." and based on the actual situation of the Company. The specific contents are as follows:
1. Applicable Objects
This plan applies to non-independent directors and senior management who hold other positions in the Company. Non-independent directors who do not hold other positions in the Company will not receive compensation from the Company. The compensation for independent directors will be executed according to the independent director allowance approved by the shareholders' meeting at each board term renewal.
2. Composition of Compensation
The compensation for directors and senior management consists of basic salary, performance pay, and medium- to long-term incentive income (if any). The basic salary is paid monthly, while performance pay is executed according to the provisions of Article 3 of this plan and distributed according to Article 4.
