I. Overview
Shaanxi Jinye Science and Education Group Co., Ltd. (hereinafter referred to as the "Company" or "this Company") held the third meeting of the Ninth Board of Directors on April 22, 2026, and the 2025 Annual Shareholders' Meeting on May 19, 2026, respectively. The "Proposal on Applying for Comprehensive Credit Line and Guarantee Matters with Banks and Financial Institutions for 2026" was considered and approved. It was agreed that the Company and its subsidiaries within the scope of the consolidated financial statements would apply for a comprehensive credit line from banks, securities companies, and other financial institutions, with a total amount not exceeding RMB 4 billion or its equivalent in foreign currency. The Company will provide guarantees for this credit line, with a total amount not exceeding RMB 4 billion or its equivalent in foreign currency. This includes guarantees from the Company to its subsidiaries, among subsidiaries, and from subsidiaries to the Company. The guarantee methods include, but are not limited to, joint liability guarantees, mortgages, and pledges.
