Jiangsu Dongsheng Law Firm (hereinafter referred to as "this firm") has been entrusted by Jiangsu Yanhua Online Logistics Co., Ltd. (hereinafter referred to as "the company") to appoint lawyers E Xiaolong and Chen Chunming to attend the company's 7th Extraordinary General Meeting of Shareholders in 2012 (hereinafter referred to as "this meeting") and provide legal witnessing. (hereinafter referred to as "the Articles of Association").
Before issuing this legal opinion, the lawyers of this firm attended this meeting and reviewed the documents related to this meeting provided by the company's board of directors. The company has committed that the documents provided are true, complete, and that the copies are consistent with the originals. This legal opinion is solely for the purpose of verifying the legality of matters related to this meeting and shall not be used for any other purpose. The lawyers of this firm agree to publish this legal opinion along with the resolutions of this meeting online.
