Jiangsu Dongsheng Law Firm (hereinafter referred to as "this firm") has been entrusted by Jiangsu Yanhua Online Logistics Co., Ltd. (hereinafter referred to as "the Company") to appoint lawyers E Xiaolong and Chen Chunming to attend the Company's Sixth Extraordinary Shareholders' Meeting in 2012 (hereinafter referred to as "this Shareholders' Meeting") and provide legal witnessing. The lawyers of this firm have issued this legal opinion based on the provisions of the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Rules for Shareholders' Meetings of Listed Companies issued by the China Securities Regulatory Commission (hereinafter referred to as "the Meeting Rules"), and other relevant laws, regulations, and normative documents, as well as the Articles of Association of Jiangsu Yanhua Online Logistics Co., Ltd. (hereinafter referred to as "the Articles of Association").
Before issuing this legal opinion, the lawyers of this firm attended this Shareholders' Meeting and reviewed the documents related to this Shareholders' Meeting provided by the Company's Board of Directors. The Company has committed that the documents provided are true, complete, and that the copies are consistent with the originals. This legal opinion is only for the purpose of verifying the legality of matters related to this Shareholders' Meeting and shall not be used for any other purpose. The lawyers of this firm agree to publish this legal opinion along with the resolutions of this Shareholders' Meeting online.
