According to the China Securities Regulatory Commission (CSRC) document [2005]117 regarding the acquisition of Jinzhou Petrochemical shares by China National Petroleum Corporation (hereinafter referred to as "CNPC"), CNPC announced the "Jinzhou Petrochemical Co., Ltd. Acquisition Report" on November 15, 2005, and issued a comprehensive acquisition offer to all circulating shareholders of the company. As of the expiration date of this offer on December 14, 2005, the number of shares declared by shareholders confirmed by the Shenzhen branch of China Securities Depository and Clearing Corporation Limited (hereinafter referred to as "the Depository Company") that had accepted the offer and not withdrawn totaled 117,486,753 shares, exceeding 31.875 million shares, accounting for 78.32% of the total circulating shares and 14.92% of the company's total share capital. As of December 16, 2005, the settlement procedures have been completed, and CNPC holds a total of 754,986,753 shares, accounting for 95.87% of the company's total share capital.
