I. Resignation of the Chairman
Shanxi Expressway Group Co., Ltd. (hereinafter referred to as "the Company") recently received a written resignation report from Mr. Wu Yi, the Company's Chairman. According to organizational arrangements, Mr. Wu Yi applied to resign from his positions as a director, Chairman, head of the Strategic and Sustainable Development Committee, and member of the Nomination Committee. In accordance with the Company Law, the Articles of Association, and other relevant regulations, Mr. Wu Yi's resignation report will take effect from the date it is delivered to the Company's board of directors. His resignation will not cause the number of board members to fall below the legal minimum. After his resignation, Mr. Wu Yi will no longer serve as the Company's legal representative or hold any other positions within the Company. Mr. Wu Yi's term as Chairman and director was originally set to end on May 21, 2028. As of the announcement date, he does not hold any shares in the Company and has no unfulfilled commitments. His resignation will not affect the Company's operational management activities. The Company and the board express heartfelt gratitude for Mr. Wu Yi's contributions to the Company's continuous, stable, and high-quality development during his tenure.
