On September 2, 2016, Changcheng Information received the approval from the China Securities Regulatory Commission (hereinafter referred to as "CSRC") regarding the absorption merger of Changcheng Information by China Great Wall Computer Shenzhen Co., Ltd. (hereinafter referred to as "Great Wall Computer") and the issuance of shares to China Electronics Corporation for asset acquisition and fundraising (CSRC Approval [2016] No. 1968). This approval allows Great Wall Computer to absorb Changcheng Information with the issuance of 1,502,165,589 new shares.
