Legal Opinion on the Termination of Listing of Changcheng Information Industry Co., Ltd. by Hunan Qiyuan Law Firm

Hunan Qiyuan Law Firm (hereinafter referred to as "this Firm") has been entrusted by Changcheng Information Industry Co., Ltd. (hereinafter referred to as "the Company" or "Changcheng Information") to act as the special legal advisor for the Company's major asset restructuring. According to the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China," the opinions issued by the China Securities Regulatory Commission (hereinafter referred to as "CSRC") on the reform and strict implementation of the delisting system for listed companies (hereinafter referred to as "Opinions on Delisting System"), and the "Shenzhen Stock Exchange Listing Rules (2014 Revision)" (hereinafter referred to as "SZSE Listing Rules"), this legal opinion is issued regarding the voluntary termination of listing of Changcheng Information on the Shenzhen Stock Exchange due to its share swap merger with Changcheng Computer.
To issue this legal opinion, this Firm has received the following assurances from Changcheng Information: Changcheng Information has provided original written materials, copies, and documents deemed necessary for this legal opinion; the documents and facts provided to this Firm are true, accurate, and complete, with no concealment, false statements, or significant omissions; if the documents are copies or reproductions, they are entirely consistent with the originals; the signatures and seals on the documents are authentic and valid, and the validity of the originals has not been revoked by relevant government departments during their effective period. This Firm and the handling lawyers have strictly fulfilled their statutory duties in accordance with the "Securities Law of the People's Republic of China," the "Measures for the Administration of Securities Legal Services by Law Firms," and the "Practice Rules for Securities Legal Services by Law Firms (Trial)," and have conducted thorough verification to ensure that the facts stated in this legal opinion are true, accurate, and complete, and that the conclusions drawn are legal and accurate, with no false records, misleading statements, or significant omissions. This Firm only expresses opinions on legal issues related to this termination of listing and solely based on facts that have occurred or existed prior to the issuance of this legal opinion. This Firm does not express opinions on non-legal professional matters such as accounting, auditing, and asset evaluation.
This supplementary legal opinion is only for the purpose of the termination of listing of Changcheng Information and may not be used for any other purpose without the written consent of this Firm. This Firm agrees to submit this legal opinion as a necessary statutory document for the termination of listing of Changcheng Information, along with other materials, and shall bear corresponding legal responsibilities for the issued legal opinions.
