1. Definitions
The following terms, unless otherwise specified, have the meanings ascribed to them in this report: Note: 1. Pro Pharmaceutical, the Company, refers to Pro Pharmaceutical Co., Ltd. This Plan, the Incentive Plan, Stock Option Incentive Plan refers to Pro Pharmaceutical Co., Ltd.'s 2026 Stock Option Incentive Plan. Stock Options refer to the rights granted to the incentive objects to purchase a certain number of the Company's shares under predetermined conditions within a specified period. Incentive Objects refer to the core management and technical personnel of CDMO who are eligible to receive stock options according to this incentive plan. Grant Date refers to the date on which the Company grants stock options to the incentive objects, which must be a trading day. Validity Period refers to the period from the first grant of stock options until all granted stock options are exercised or canceled. Waiting Period refers to the time between the grant of stock options and the date when the stock options can be exercised. Exercise refers to the act of the incentive objects exercising their stock options according to this incentive plan, meaning the act of purchasing the underlying shares as set forth in the incentive plan. Exercise Date refers to the date when the incentive objects can start exercising their options, which must be a trading day. Exercise Price refers to the price determined by this incentive plan at which the incentive objects can purchase the Company's shares. Exercise Conditions refer to the conditions that must be met for the incentive objects to exercise stock options according to this incentive plan. The Company Law refers to the Company Law of the People's Republic of China. The Securities Law refers to the Securities Law of the People's Republic of China. The Management Measures refer to the Management Measures for Equity Incentives of Listed Companies. Self-Regulatory Guidelines No. 1 refers to the Self-Regulatory Guidelines No. 1 for Listed Companies of the Shenzhen Stock Exchange. The Articles of Association refers to the Articles of Association of Pro Pharmaceutical Co., Ltd. The China Securities Regulatory Commission refers to the China Securities Regulatory Commission. The Compensation and Assessment Committee refers to the Compensation and Assessment Committee of the Board of Directors of Pro Pharmaceutical Co., Ltd. The Stock Exchange refers to the Shenzhen Stock Exchange. Yuan, Ten Thousand refers to RMB Yuan, RMB Ten Thousand. CDMO refers to Contract Development and Manufacturing Organization.
