I. Transaction Overview
Jiangsu Stone Aviation Science and Technology Co., Ltd. (hereinafter referred to as the "Company") held the 32nd meeting of the 11th Board of Directors on June 17, 2026, and reviewed and approved the "Proposal on the Acquisition of Shares and Capital Increase of Chengdu Tianke Aviation Manufacturing Co., Ltd. and External Investment." The proposal approved the Company's cash acquisition of 62.8536% of the shares of Chengdu Tianke Aviation Manufacturing Co., Ltd. (hereinafter referred to as "Tianke Aviation") for RMB 21,998.7547 million, with a further acquisition possible later, but the total share acquisition not exceeding 70%. Simultaneously, the Company will inject RMB 50 million into Tianke Aviation.
