1. Overview of External Investment
Dalian Friendship (Group) Co., Ltd. (hereinafter referred to as "the Company") held the 18th meeting of the 10th Board of Directors on November 18, 2025, and the 5th extraordinary general meeting of shareholders on December 4, 2025, where it approved the proposal to establish wholly-owned subsidiaries and deregister branches. In accordance with the company's strategic layout and operational development needs, to further optimize the company's organizational and business structure and improve operational management efficiency, the company plans to invest in establishing wholly-owned subsidiaries: Dalian Friendship Mall Co., Ltd. and Dalian Jinpu New District Friendship Mall Co., Ltd. These subsidiaries will take over the operational assets and related business of the branches, including Dalian Friendship (Group) Co., Ltd. Friendship Mall Main Store, Dalian Friendship (Group) Co., Ltd. Friendship Mall New World Store, Dalian Friendship (Group) Co., Ltd. Friendship Mall Development Zone Store, Dalian Friendship (Group) Co., Ltd. Friendship Advertising Company, and Dalian Friendship (Group) Co., Ltd. Import and Export Trading Company. The investment will include real estate, some movable property, and operational assets from certain branches, along with associated liabilities and workforce.
