We were entrusted by Zhidu Technology Co., Ltd. (hereinafter referred to as "Zhidu Co., Ltd.") to audit the consolidated and parent balance sheet of Zhidu Co., Ltd. as of December 31, 2025, the income statement of the consolidated and parent company, the cash flow statement of the consolidated parent and the company, the statement of changes in shareholders' equity of the consolidated and the parent company and the notes to the financial statements in accordance with the practice standards of Chinese certified public accountants, and issued the unqualified audit report of Tianheng Shenzi (2026) 01068.
In accordance with the "Regulatory Guidelines for Listed Companies No. 8 - Regulatory Requirements for Capital Transactions and External Guarantees of Listed Companies" and other relevant provisions, Zhidu Co., Ltd. has compiled a summary table of non-operating capital occupation and other related capital transactions of Zhidu Technology Co., Ltd. in 2025 (hereinafter referred to as the "summary table") attached to this special note.
It is the responsibility of the management of Zhidu Co., Ltd. to prepare and disclose the summary table and ensure its authenticity, legality and completeness, and we have checked the information contained in the summary table with the accounting information and audited financial statements reviewed when we audited the 2025 financial statements of Zhidu Co., Ltd., and found no inconsistencies in all material aspects. In addition to the audit procedures related to related party transactions carried out in the audit of the 2025 financial statements of Zhidu Co., Ltd., we have not performed additional audit procedures on the information contained in the summary table.
