Sichuan Yanshan Chemical (Group) Co., Ltd. Announcement of Resolutions from the 10th Meeting of the 5th Board of Directors
The 10th meeting of the 5th Board of Directors of Sichuan Yanshan Chemical (Group) Co., Ltd. was held on April 21, 2001, in the conference room of Neijiang Hotel, presided over by Chairman Mr. Feng Jingwen. There were 8 directors eligible to attend, 6 present, 2 authorized, and 3 supervisors attended the meeting, which complies with the provisions of the Company Law and the Articles of Association.
After careful deliberation by the attending directors, the following resolutions were passed:
- The 2001 Board of Directors Work Report;
- The 2001 Supervisory Committee Work Report;
- The 2001 General Manager Work Report;
- The proposal regarding the original and summary of the 2001 annual report;

- The 2001 Financial Settlement Report;
- Proposal regarding the 2001 profit distribution plan: The company incurred a loss of 149.7155 million yuan in 2001, thus no profit distribution or capital reserve transfer to increase share capital will be made;
- Proposal to appoint an accounting firm: The company decided to reappoint Sichuan Junhe Accounting Firm as the financial audit intermediary for one year;
- Agreement for Mr. Feng Jingwen to resign from the positions of director and chairman;
- Agreement to appoint Mr. Hu Guangyou and Mr. Tang Minghua as directors (resumes attached);
- Election of Mr. Liu Zongping as chairman of the company (resume attached);
- Agreement for Mr. Shi Han to resign from the position of secretary of the board of directors;
- With the chairman's consent, Mr. Hu Guangyou is appointed as the general manager of the company;
- Proposal to convene the 2001 annual shareholders' meeting (notification to be announced separately).

- Liu Zongping: 59 years old, Communist Party member, vocational school graduate, senior economist. Worked at Weiyuan Coal Mine in Sichuan Province in 1961, transferred to Sichuan Yanshan Phosphate Fertilizer Plant in 1962, held various positions including production team leader, staff member, secretary of the factory's Youth League Committee, deputy director of the central laboratory, deputy director of the heavy calcium workshop, deputy factory manager and director of the business department, secretary of the factory's Party Committee, vice chairman of the 4th Board of Directors, and executive vice general manager. Currently serves as a director and vice chairman of the 5th Board of Directors of the company.
- Hu Guangyou: Male, born in October 1954, Communist Party member, graduate student, senior engineer. Worked as an operator and dispatcher at Jianyang Hongta Fertilizer Plant from 1980 to 1981; held various positions in the company from 1981 to 1997 including safety administrator, process technician, workshop deputy director, director, deputy factory manager, chief engineer, assistant factory manager, and deputy minister of the production department. Served as factory manager and deputy secretary of the Party Committee at Neijiang Fertilizer Plant from 1997 to 1999; factory manager and deputy secretary of the Party Committee at Yinfeng Plant from 1999 to 2001; assistant general manager and head of the comprehensive management department from 2001 to 2002; currently serves as the company's vice general manager.
- Tang Minghua: Male, born in August 1952, Communist Party member, college graduate. Held various positions at Weiyuan Fertilizer Plant from 1986 to 1999 including deputy section chief, section chief, assistant factory manager, and deputy factory manager. Served as factory manager and deputy secretary of the Party Committee at Neijiang Fertilizer Plant from 1999 to 2001; currently serves as factory manager at Weiyuan Fertilizer Plant.
