Announcement on the Administrative Penalty Notice Received by Actual Controller Due to Historical Disclosure Violations of Longjing Environmental Protection

Sunshine City Group Co., Ltd. (hereinafter referred to as "the Company") disclosed on May 16, 2023, that its actual controller, Wu Jie, was subject to an investigation by the China Securities Regulatory Commission (CSRC) due to historical information disclosure violations by Fujian Longjing Environmental Protection Co., Ltd. (stock code: 600388.SH), as announced in the notice (Announcement No. 2023-042). Recently, the Company received a notification from Wu Jie stating that he has received the "Administrative Penalty Notice" issued by the Fujian Regulatory Bureau of the CSRC (Min Zheng Jian Han [2023] No. 259). The announcement is as follows:
1. Content of the Administrative Penalty Notice
Fujian Longjing Environmental Protection Co., Ltd., Wu Jie, He Mei, Luo Rusheng, Feng Wanru, and Zhang Jin: The case involving the suspected information disclosure violations by Fujian Longjing Environmental Protection Co., Ltd. (hereinafter referred to as ST Longjing or the Company) and its former actual controller Wu Jie has been investigated by our bureau, and we intend to impose administrative penalties on you. We hereby inform you of the illegal facts, reasons, basis for the proposed penalties, and your related rights.
Upon investigation, the following illegal facts have been established:
(1) Related Party Relationships
During the 2021 annual report period, Wu Jie was the actual controller of ST Longjing and the legal representative of Fujian Sunshine Group Co., Ltd. (hereinafter referred to as Sunshine Group). Sunshine Group controlled ST Longjing and Fujian Sunshine Science and Education Co., Ltd. (hereinafter referred to as Sunshine Science and Education) through Longjing Industrial Investment Group Co., Ltd. (hereinafter referred to as Longjing Industrial). Lü Jianbo served as a director of ST Longjing from November 2017 to June 2022 and as the general manager of Sunshine Longjing Group Co., Ltd. (hereinafter referred to as Sunshine Longjing) during the same period. According to Article 216, Item 4 of the Company Law of the People's Republic of China and Article 62, Item 4 of the Administrative Measures for Information Disclosure by Listed Companies (CSRC Order No. 182, hereinafter referred to as the "Disclosure Measures"), Sunshine Group, Sunshine Longjing, and Sunshine Science and Education are related parties of ST Longjing.
