Chapter One General Principles
Article 1
To further improve the management of senior executives at Yuanda Industry Control Co., Ltd. (hereinafter referred to as the "Company"), this management system for senior executives (hereinafter referred to as "senior executives") is established. It aims to create a scientific and effective compensation mechanism, ensuring stability and effective motivation for senior executives. The Company promotes healthy and sustainable development and achieves the company's strategic objectives. It integrates the company's operational situation and industry standards, establishing specific systems.
Article 2
This system applies to all senior executives designated by the Company, including the chairman, general manager, and other senior personnel.
Article 3
The determination of senior executive compensation follows these principles:
- Compensation should be relevant to responsibilities;
- Compensation should align with the company's business performance;
- Compensation should reflect the market level;
- Compensation should maintain stability, ensuring the company can sustain development;
- Compensation should be linked to performance evaluations.
Chapter Two Compensation Management Structure
Article 4
The Company’s board of directors is responsible for determining the management system for senior executives' compensation.
Article 5
The Company’s compensation management for senior executives must first be reviewed by the compensation committee and proposed to the board of directors for approval. The board of directors will make the final decision.
