I. Overview of Abnormal Stock Trading Fluctuations
Beijing Zhongdi Investment Co., Ltd. (hereinafter referred to as "the Company" or "Zhongdi Investment") experienced abnormal stock trading fluctuations. The closing price of its stock (stock code: 000609, stock abbreviation: *ST Zhongdi) deviated from the daily limit for two consecutive trading days, June 25, 2026, and June 26, 2026, with a cumulative deviation of 12.76%. In accordance with the relevant provisions of the "Trading Rules of the Shenzhen Stock Exchange," this constitutes abnormal stock trading fluctuations.
II. Company Verification Statement
Regarding the abnormal fluctuations in the Company's stock trading, the Company has investigated relevant matters and provides the following explanation:

In accordance with the "Administrative Measures for the Takeover of Listed Companies," the Company's controlling shareholder, Shenzhen Tianwei Investment Partnership (Limited Partnership) (hereinafter referred to as "Tianwei Investment"), has pledged that it will not transfer the Zhongdi Investment shares acquired through this change in equity for a period of 18 months from the completion of the equity change in Zhongdi Investment.

On May 6, 2026, the Company received a notice from its related party, Shenzhen Tianwei Electronics Co., Ltd. (hereinafter referred to as "Shenzhen Tianwei Electronics"), stating that on May 6, 2026, Shenzhen Tianwei Electronics increased its holdings in the Company by 66,000 shares through the centralized bidding system of the Shenzhen Stock Exchange, accounting for 0.02% of the Company's total share capital.
After this increase in holdings, the Company's controlling shareholder, Tianwei Investment, and its related party, Shenzhen Tianwei Electronics, collectively hold 71,210,800 shares of the Company, accounting for 23.79% of the Company's total share capital.

During the period of abnormal stock fluctuations, the Company's controlling shareholder and actual controller did not trade the Company's shares.
