I. Overview of Litigation Matters
On May 14, 2024, Beijing Zhongdi Investment Co., Ltd. (hereinafter referred to as the "Company") disclosed the "Announcement Regarding Litigation Matters of a Wholly-Owned Subsidiary." In 2019, the Company's wholly-owned subsidiary, Chongqing Zhongmei Heng Real Estate Co., Ltd. (hereinafter referred to as "Zhongmei Heng Real Estate"), applied for a total loan of RMB 750 million from the Jiangbei Branch of Chongqing Three Gorges Bank Co., Ltd. (hereinafter referred to as "Three Gorges Bank"). Between November 2019 and January 2020, Three Gorges Bank issued a total loan principal of RMB 459.5285 million to Zhongmei Heng Real Estate. At the same time, the Company, its former controlling shareholder Guangdong Runhong Fuchuang Technology Center (Limited Partnership) (hereinafter referred to as "Runhong Fuchuang"), former actual controller Wu Jun, and related parties provided joint and several liability guarantees for the aforementioned loan. Zhongmei Heng Real Estate provided mortgage guarantees for the loan with its land plots and projects under construction. Tibet Zhixuan Enterprise Management Co., Ltd. (hereinafter referred to as "Tibet Zhixuan") provided pledge guarantees for the loan with its 100% equity stake in Zhongmei Heng Real Estate, and Anyue Qincheng Real Estate Co., Ltd. (hereinafter referred to as "Anyue Real Estate") provided mortgage guarantees with its properties. Subsequently, Three Gorges Bank filed a lawsuit with the Chengdu-Chongqing Financial Court regarding the aforementioned loan, requesting the court to order Zhongmei Heng Real Estate to repay the loan principal of RMB 459.5285 million and the owed interest, penalty interest, and compound interest; to order Zhongmei Heng Real Estate to pay the legal fees, property preservation fees, preservation guarantee/insurance fees, announcement fees, and other expenses incurred in realizing the creditor's rights; and to order Zhongdi Investment, the former controlling shareholder Runhong Fuchuang, and the former actual controller Wu Jun to bear joint and several liability for all debts to Three Gorges Bank. The bank also requested priority in receiving payment from the land and construction projects held by Zhongmei Heng Real Estate in Chongqing, properties held by Anyue Real Estate, and the 100% equity stake in Zhongmei Heng Real Estate held by Tibet Zhixuan.
