Fujian Xiping Law Firm (hereinafter referred to as "this firm") was entrusted by Jinzhu Cihang Group Co., Ltd. (hereinafter referred to as "Jinzhu Cihang") to appoint lawyers Liu Zhaorong and Ou Zhaocheng to attend and witness the Fourth Extraordinary Shareholders' Meeting of Jinzhu Cihang held in 2022 (hereinafter referred to as "this shareholders' meeting"). This legal opinion is issued by this firm's lawyers in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "Company Law"), the Rules for Shareholders' Meetings of Listed Companies (hereinafter referred to as "Meeting Rules"), and other laws, regulations, normative documents, and the Articles of Association of Jinzhu Cihang Group Co., Ltd. (hereinafter referred to as "Articles of Association"). This legal opinion only addresses the convening and holding procedures of this shareholders' meeting, the qualifications of attendees, the qualifications of the convener, the voting procedures, and whether the voting results comply with the laws, regulations, and the Articles of Association, and does not express opinions on the content of the proposals reviewed at this shareholders' meeting or the authenticity, accuracy, or legality of the related facts or data presented in those proposals.
To issue this legal opinion, this firm's lawyers attended the shareholders' meeting online and verified and validated the documents and facts related to this shareholders' meeting provided by Jinzhu Cihang in accordance with relevant laws and regulations, and according to the recognized business standards, ethical norms, and due diligence spirit of the legal profession. In the process of verifying and validating the documents provided by Jinzhu Cihang, this firm assumes that: 1. All signatures, seals, and stamps in the documents provided to this firm by relevant personnel are genuine, and all original documents submitted to this firm are true, accurate, and complete; 2. All facts stated in the documents provided to this firm by relevant personnel are true, accurate, and complete; 3. All signatories of the documents provided to this firm by relevant personnel have full civil capacity, and their signing actions have received appropriate and valid authorization; 4. The copies submitted to this firm by relevant personnel are consistent with the originals, and the originals of these documents are genuine, complete, and accurate.
