The Company's wholly-owned subsidiary, Gansu Coal First Engineering Co., Ltd. (hereinafter referred to as "Mei-Yi Company"), has won the bid for engineering construction projects for the industrial site slope protection and river management and flood control of the Jiulongchuan Coal Mine project of Qingyang Coal Power Co., Ltd. (hereinafter referred to as "Qingyang Coal Power"), a subsidiary of the controlling shareholder. The details are as follows:
I. Overview

Mei-Yi Company, a wholly-owned subsidiary of the Company, has won the bid for the general contracting of the industrial site slope protection engineering for Qingyang Coal Power's Jiulongchuan Coal Mine project, with a total contract price of RMB 4,725.45 million (tax inclusive). It has also won the bid for the general contracting of the river management and flood control engineering for the industrial site of Jiulongchuan Coal Mine, with a total contract price of RMB 4,166.19 million (tax inclusive). The total contract value for these related party transactions is RMB 8,891.64 million (tax inclusive).

Qingyang Coal Power is a subsidiary of Gansu Energy Chemical Investment Group Co., Ltd. (hereinafter referred to as "Nenghua Group"), the Company's controlling shareholder. It is primarily responsible for the development and construction of the Jiulongchuan Coal Mine project in the Ningxian County of Gansu Province.

In accordance with the "Shenzhen Stock Exchange Stock Listing Rules" and other relevant regulations, this engineering construction constitutes a related party transaction. It does not constitute a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies" and requires deliberation by the Company's Board of Directors, but not by the shareholders' meeting.
On August 7, 2026, the Company held the 14th meeting of the 11th Board of Directors, which deliberated and approved the "Proposal on Subsidiary Mei-Yi Company Winning Bid for Engineering Construction and Related Party Transaction." As this is a related party transaction, three related directors, Xie Xiaofeng, Chen Yong, and Zhao ChengHuan, recused themselves from voting in accordance with regulations.
