Guangdong Zhongxin Xiecheng Law Firm has been appointed as the special legal advisor for the absorption merger of Midea Electric and is authorized to issue this legal opinion for the merger. We have previously issued the "Legal Opinion on the Share Swap Absorption Merger of Midea Group Co., Ltd. and Guangdong Midea Electric Co., Ltd." and the "Supplementary Legal Opinion on the Share Swap Absorption Merger of Midea Group Co., Ltd. and Guangdong Midea Electric Co., Ltd." on March 28, 2013, and April 24, 2013, respectively (hereinafter collectively referred to as the "Original Legal Opinions"). This supplementary legal opinion is issued in response to the requirements outlined in the China Securities Regulatory Commission's Notice No. 130496 dated May 6, 2013, and should be used in conjunction with the Original Legal Opinions. Unless otherwise specified, the abbreviations used in this supplementary legal opinion are consistent with those defined in the Original Legal Opinions.
