Chapter One: General Principles
Article 1
To prevent fraud, corruption, and bribery, and to enhance the management of these issues, the company (hereinafter referred to as "the Company") shall establish a management system in accordance with relevant laws and regulations, ensuring the integrity and health of the Company. This system is based on the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China," and the "Guidelines for Corporate Governance" (Securities Regulatory Commission [2008] No. 7).
Article 2
Fraud, corruption, and bribery work are governed by the principles of legality, fairness, and transparency. The Company shall ensure that all employees understand and comply with these principles, preventing losses to the Company and promoting a culture of integrity.
Article 3
The Company shall establish a clear framework for managing fraud, corruption, and bribery, ensuring that all employees are aware of their responsibilities and the consequences of violations.
Article 4
The Company shall implement effective control measures to mitigate risks associated with fraud, corruption, and bribery, ensuring compliance with applicable laws and regulations.
Chapter Two: Organization and Responsibilities
Article 5
The main responsibilities of the audit and legal committee include:
- Participating in the establishment of the anti-fraud, anti-corruption, and anti-bribery management system.
- Supervising the implementation of the system and providing guidance on related work.
- Reporting on the status of anti-fraud, anti-corruption, and anti-bribery efforts to the board of directors.
