1. Implementation of the Acquisition
(1) Overview of the Acquisition
Before the acquisition, Zhejiang Pharmaceutical Group, through its wholly-owned subsidiary Huachen Investment, indirectly held 122,277,151 shares of Yinte Group (23.42% of total shares as of September 30, 2024) and controlled an additional 48,899,755 shares through Kang En Bei (9.37% of total shares). After the acquisition, Zhejiang Pharmaceutical Group directly held 122,277,151 shares (23.42%) and controlled 48,899,755 shares through Kang En Bei, with voting rights for 150,846,487 shares (28.89%) entrusted to Zhejiang Guomao. This resulted in a total control of 322,023,393 shares (61.67%). The controlling shareholder changed from Zhejiang Guomao to Zhejiang Pharmaceutical Group, but the actual controller remains the Zhejiang Provincial State-owned Assets Supervision and Administration Commission. The acquisition was conducted among entities under the same actual controller, thus not changing the actual control of Yinte Group.
