Announcement on Proposed Change of Independent Director
Shenzhen Special Economic Zone Real Estate & Properties (Group) Co., Ltd. Mr. Mi Xuming, the independent director of the Company, has applied to resign from his position as independent director and related committee roles for personal reasons. To ensure the normal operation of the board, the Company’s board of directors has decided to nominate Mr. Song Botong as the candidate for independent director (resume attached), with a term starting from the date of election approval by the shareholders' meeting until the expiration of the eighth board's term. The remuneration standard will be consistent with that of other independent directors of the eighth board. Mr. Song has obtained the independent director qualification certificate recognized by the stock exchange and has passed the qualification review by the Company’s board nomination committee.
