We audited the 2025 financial statements of Shenzhen Zhenye (Group) Co., Ltd. (hereinafter referred to as "Zhenye Group") in accordance with Chinese CPA auditing standards, including the consolidated and parent company balance sheets as of December 31, 2025, the consolidated and parent company income statements, consolidated and parent company cash flow statements, consolidated and parent company statements of changes in shareholders' equity, and notes to the financial statements. According to the China Securities Regulatory Commission's "Regulatory Guidelines for Listed Companies No. 8—Regulatory Requirements for Fund Transfers and External Guarantees of Listed Companies" (CSRC Announcement [2022] No. 26), as well as the "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 1—Business Handling," the management of Zhenye Group has prepared the summary table of Zhenye Group's non-operating fund occupation and other related fund transactions for 2025 attached to this special explanation (hereinafter referred to as the summary table). It is the responsibility of Zhenye Group's management to prepare and publicly disclose the summary table, ensuring its authenticity, accuracy, and completeness. We have cross-checked the information in the summary statement with the accounting data and audited financial statements we reviewed during our audit of Zhenye Group's 2025 financial statements, and found no discrepancies in any material aspects.
